Mliswa Ousted From CP Chemicals Over Governance Breaches

CP Chemicals (Private) Limited has dismissed outspoken businessman and former legislator Temba Mliswa from his roles as Director and Chairperson, citing serious breaches of corporate governance.
The decision, effective immediately, was communicated in a formal letter dated 27 June 2025 and signed by the company’s Corporate Secretary, Ezra Dzoro.
According to the letter, the Board of Directors resolved to terminate Mliswa’s appointment due to “breaches of fiduciary duty, conflict of interest, unilateral decisions made outside the scope of approved board resolutions, and conduct that has adversely affected the company’s public image and reputation.”
The action was taken in line with the Companies and Other Business Entities (COBE) Act, the company’s Articles and Memorandum of Association, and a binding board resolution passed last week.
While CP Chemicals has not publicly disclosed the specific incidents behind the decision, internal sources cited by businessdaily pointed to growing tensions over Mliswa’s leadership style, described as “solo-driven” and dismissive of collective decision-making.
The board reportedly concluded that his continued presence in the company’s governance structure was no longer tenable.
Mliswa, who had chaired CP Chemicals since early 2023, is known for his bold views and frequent clashes in both political and business arenas.
His tenure was marked by aggressive expansion efforts and controversial boardroom dynamics.
Businessdaily reported that attempts to reach him for comment were unsuccessful at the time of publication.
The company, a major supplier of industrial and agricultural chemicals in Zimbabwe, is expected to convene an emergency board meeting to appoint an interim chairperson and stabilise its leadership.
The development has already sparked debate in corporate and political circles, given Mliswa’s high-profile status and history of high-stakes disputes.
